What types of investments do you offer?
Property Moose will offer a range of residential properties for you to invest in to allow you to build a diversified portfolio – something that is very important when making investments. In the future, Property Moose will offer commercial and international property investments to further the diversification and returns of users’ portfolios.

How do I amend my personal details?
Once registered, you can amend your account details within the My Account section of the website using the button at the top of the investment summary platform. If you have any problems, or need make any other changes to your account, please do get in touch.

Do you conduct any checks on my identity?
When you make your first transaction, we are required to conduct anti-money laundering checks on you. These are initially conducted online via a professional provider using the details you provide as part of the sign-up and investment process. If any of these details are incorrect, or we are unable to fully conduct our online search, we will ask you for more information which will usually require you to send us a certified copy of your passport or driving license and a recent utility bill or bank statement. If we need to conduct these additional checks, we will contact you as soon as possible to request further information.

What is Property Moose?
Property Moose is a crowdfunding platform dedicated to property development. Property Moose was conceived to allow everyone to invest in property and build a market leading diversified investment portfolio quickly, easily and through the power of the crowd. Property Moose is acting for the investment company, not for investors.

Are you regulated by the FCA?
We are registered with the FCA as an Appointed Representative of Sapia Partners LLP who are regulated by the Financial Conduct Authority.

How do I join Property Moose?
Joining Property Moose is quick and easy. All you need to do is follow the instructions on how to register online and either self certify yourself as a High Net Worth or Sophisticated Investor, or complete a short questionnaire to allow us to assess your suitability for investing via Property Moose.

How can I make investments through Property Moose?
Property Moose uses the GoCardless micro-payment system to ensure that transactions can be processed without excessive fees. This uses a one off direct debit to take payment and does so for a fixed fee of 0.5% per transaction. Please see www.gocardless.com for more details. GoCardless can only accept payments from UK bank accounts. If you are investing a large amount or making payment from a non-UK bank account please contact us so we can arrange a direct payment.

How will I receive my annual dividends and other money from my investments?
Any dividends declared by the SPV will be paid to you by cheque or electronic transfer. We will contact you to collect the necessary details. Please note that dividends will only be payable once the sum to be received reaches £100. This is to avoid undue cost on the SPV and help increase yields.
Funds are only taken from your bank account once the property has been fully funded. Once we have completed the funding of a project, a confirmation email will be sent and funds will be collected within 5 business days and paid direct to the bank account of the SPV set up to hold the property. The funds needed to acquire the property will then be sent to our solicitor’s client account to process the transaction. This ensures, at all times, that your money is always held on your behalf and in your control and separate from the Property Moose business. You can cancel your investment at any time within 14 business days of making your pledge.

How are properties valued?
Initially, properties are valued based on their asking price and a professional assessment by our internal investment team which includes making use of sophisticated online valuation software from Home Track. In certain circumstances we will conduct a RICS valuation or a Home Buyers Report using one of our partner surveyor firms. New build properties are valued by the developers asking price (with our agreed discounts) and our professional assessment as these are acquired off plan.

Who owns the properties?
Properties are purchased through an individual special purpose vehicle (in the form of a limited company) (the “SPV”). Investors receive full voting shares in each SPV so have a direct interest in the property they invest in.

What do I receive for my investment?
Each investor will receive a legal share in the SPV thereby having a direct interest in each property they invest in. The number of shares received will depend on how much is invested and will equate to the pro-rata investment in the fund. A share certificate will be issued for the shares and will be available within the investor’s online account for added security. Net rental payments will be distributed annually. Once the investment term ends, the property will be sold and the SPV liquidated with all cash being distributed to the investors.

What rights do I have as a shareholder?
The rights attaching to each share are set out in the articles of association for the SPV – available in the legal section of each property advertised. Each share in the SPV carries one vote and investors will receive notices of any shareholders’ meetings or written resolutions which investors are welcome to attend or vote on.

How much does it cost to invest?
Joining Property Moose is completely free of charge. We charge a fee on any funds raised (5%) which covers our costs in raising the fund, investigating the properties and dealing with the initial renovation and management. We then receive a profit fee which is taken when money is distributed to you from your investment (15%).

Can I receive EIS or SEIS tax relief?
Unfortunately, as the company you are investing in is purely dealing with property, these tax reliefs are not available. You are responsible for the payment of any taxes through your own tax returns.

What tax charges will there be?
Each SPV is subject to corporation tax that will be deducted from any funds distributed to the crowd. In addition, you will receive dividends from your investment that you will need to account for on your own personal tax returns.

How long do I have to invest for?
Each property advertised will specify the term of the investment. This will range from 1 to 10 years but is more commonly between 3 and 5 years. Once the term of the investment has expired, the property will be sold within 6 months to allow a proper sales process to take place and the net proceeds distributed to the crowd.

What happens if it is not a good time to sell at the end of the term?
If, at the end of the fixed investment term, it is not the right time for the property to be sold, all of the investors will be able to request and vote on retaining the property for another year (and then the same for each year thereafter). To do so, 85% of the investors must vote to keep the property for each additional year.
In short, very safe! The money you transfer is sent directly to the bank account of the SPV you invest in and receive shares in. This ensures that your investment is always held completely separate to our own bank account and is always under the control of the SPV that you own.

Can I get my money back early?
As you will hold actual shares in a limited company, if you can find a buyer for your shares you can sell your shares to them by contacting us. We charge a 2.5% administration fee on any secondary sales to help cover our expenses of processing the transfer.

Can my shares be sold or transferred?
Yes. However, to ensure the Crowd is managed safely and securely, these shares can only be sold or transferred through Property Moose. Any sale or transfer will incur an administration fee of 2.5% to help cover some of our own costs in legally making the transfer.

What happens if the property I invest in can’t be bought?
If we are unsuccessful in negotiating the acquisition of a property, we will give you two options. (i) we will try and provide you with an alternative investment offering a similar yield; or (ii) you can request your money back, in which case, it will be returned in full.

Can I cancel my investment?
You can cancel your investment within 15 business days from making your pledge. To do so, please contact us at admin@propertymoose.co.uk and ensure you enter “CANCELLATION” in the subject line so we know it is urgent.
