These shares are held by a nominee company on your behalf and on trust for you as your nominee. The nominee structure is described in more detail in clause 15 below.
Investing in startup limited companies and in any property carries certain risks and it is your responsibility to satisfy yourself that this risk is acceptable to you. Property Moose and the Site offers no guarantees or assurances as to any income, capital growth or other financial gain through your investment in an SPV and property prices can go down as well as up.
You may sell your shares in any SPV at any time provided this is done through Property Moose and a transaction fee will be payable by you pursuant to clause 9.4. We do not offer any assurance or guarantee that your shares will be sold and such sale will be subject to you or Property Moose finding a willing buyer for the shares at the relevant price. We do not underwrite or guarantee the price or liquidity of any onward sale of shares, however, we confirm that we will use all reasonable endeavours to sell the shares on your behalf.

We (or a member of our group) will charge each SPV a percentage of the monthly gross rental income received by each SPV and the percentage to be charged will be set out in the relevant management agreement between Property Moose, Property Moose Limited and the relevant SPV.
Upon the sale of a property, we will charge the SPV a transaction fee of 15% (plus VAT but currently zero rated) of the net capital growth in the value of the property (and the property shall be independently valued by such third party as Property Moose or any member of its group instructs). Should it be more suitable to structure this charge as a deduction in the proceeds of sale received by the investors, we may do so.
Upon the sale of shares in the capital of an SPV, we will charge the selling shareholder a transaction fee of 15% (plus VAT but currently zero rated) of the sale price for the shares sold in the SPV, less the price paid by the selling shareholder.
You acknowledge that ancillary charges, costs or fees may be payable to third parties in connection with the SPV and acknowledge that such charges or fees are not associated with these terms. You acknowledge that:
our affiliates, and/or the proprietors, officers or employees of Property Moose and/or such affiliates may consider expressing an interest or subscribing for shares in an SPV. If you become aware of this, you agree not to rely upon the same in making a decision whether to invest in an SPV, and you confirm that any decision to invest in an SPV is not based upon any representation, information, action, omission or otherwise of Property Moose, its subsidiaries or affiliates or the proprietors or employees of Property Moose, its subsidiaries or its affiliates.
our affiliates, and/or the proprietors, officers or employees of Property Moose may seek to list or sell a property or shares in an SPV on the platform for such price as they may set. Such properties will be subject to the same rigorous due diligence as any other property acquired including a third party RICS valuation, the results of which will be provided to you within a property listing in the usual way.
Members are encouraged to ensure that arrangements are put in place for their next of kin to be informed of their order and the Property Moose process, and that instructions are provided to enable the member’s order to be withdrawn before it is converted to a irrevocable order on the occurrence of the member’s death, insolvency or incapacity. Property Moose accepts no responsibility or liability for orders not being withdrawn before being converted to a firm order through the failure of the member to put in place such an arrangement, or the failure of the next of kin to communicate a withdrawal.
Members, or in accordance with clause 13.2, their next of kin, are entitled to withdraw their order at any time prior to it becoming a firm order upon the expiry of the 5 working day confirmation email.
As part of our due diligence process, we may list a property with a projected market value based on third party desktop valuations. However, before any new crowdfunding investment is made we will ensure that we have obtained an independent RICS valuation that confirms the value of the property is as described in the listing. If there are any changes, investors will be notified and have the opportunity to cancel within 3 days.
14. INVESTMENT STRUCTURE
14.1 When investing with Property Moose, your funds will be split between an equity investment for ordinary shares in the SPV and a loan to the SPV to provide a provision fund or reserves as specified on any relevant investment page. We do this due to accounting regulations making it very difficult to raise effective provision funds, which we feel are beneficial as they reduce risk and exposure to costs and expenses or voids.
14.2 You will receive an investment receipt via email in respect of your investments.
14.3 If you wish to transfer any shares in the SPV, you must also assign the relevant loan at the same time. As such, when you are no longer a shareholder in the SPV, you shall have no rights against the company for any loans which shall be deemed to be assigned to the transferee of your shares.
14.4 The loans shall carry no right to interest and shall only be repaid at the election of the SPV. The purpose of the loans is to provide a provision fund to reduce risk for investors. Any loans outstanding shall be repaid upon the sale of a property subject to the SPV having available funds.
14.5 The tax treatment will be different when you receive dividends or the repayment of any loans. We will inform you of when a loan is being repaid in the accounts section of your portfolio dashboard. Any repayments of loan parts should not be subject to tax although you should seek advice from a tax advisor if you are unsure of the tax treatment of any returns.
15. SHARE OWNERSHIP AND LOAN NOTES
15.1 When investing with Property Moose, you receive an interest in the SPV via the issue of shares, debentures and/or loans. These investments are held by the Nominee on your behalf and on trust for you as your nominee.
15.2 By investing with Property Moose, you authorise and agree that the Nominee shall hold the shares on your behalf in accordance with the Declaration of Trust a copy of which can be found in the key documents section of the Site. The Nominee shall be entitled to rely on your instructions at any time and act accordingly and you agree to indemnify the Nominee and DFI Financial Services Ltd against any claims, losses, expenses, costs, actions or any other things incurred or caused by the Nominee acting on your instructions. Nothing in this clause shall limit the Nominee’s liability to you for fraud or its own gross negligence.
15.3 For the avoidance of doubt, the Nominee is a mere nominee, in whose name your SPV shares will be held in accordance with your direct instructions. It will not (and cannot) make any decisions on your behalf, or take any action without instructions given in accordance with these Terms. If you have any questions please get in touch with the team at [email protected].
15.4 When investing with Property Moose Finance Limited, you agree that the Nominee will hold your loan notes issued under a loan note instrument constituted by Property Moose Finance Limited on your behalf. The Nominee will be the registered holder of the notes and pursuant to a security trust deed the Nominee will agree to hold the loan notes on trust for each relevant investor and acknowledge that each relevant investor has the beneficial interest in the loan notes and the Nominee will act as the secutity agent on your behalf in respect of any security that secures the loan notes. A copy of the security trust deed can be found in the key documents section of the Site.
15.5 The Nominee shall, via the Site, keep you updated on your investment by in-Site messages, emails, telephone calls and SMS as necessary from time to time.
